TERMS AND CONDITIONS OF SALE AND USE

These Terms and Conditions (“Terms”) govern all access to and use of ColKy Designs & 3D Prints LLC (“Company”), including purchases made through Company websites, marketplaces, and direct communications. By accessing or purchasing from the Company, you agree to these Terms.

Eligibility and Capacity. You represent and warrant that you are at least eighteen (18) years of age and legally capable of entering into binding contracts under Michigan law. If you are under 13, you may not use our services without verifiable parental consent as required by the Children's Online Privacy Protection Act (COPPA, 15 U.S.C. § 6501 et seq.).

Scope.

These Terms apply to all physical products, custom manufacturing, digital products, and services provided by the Company. These Terms also apply to any software or apps provided by the Company.

Products and Manufacturing Variability.

The Company uses additive manufacturing and fabrication processes. Minor cosmetic imperfections, dimensional tolerances, layer lines, material variations, and color deviations are inherent and shall not constitute defects or nonconformities.

Custom and Made-to-Order Products.

Custom, personalized, and made-to-order products are non-cancelable, non-returnable, and non-refundable once production has commenced, except as required by law. Recurring custom orders comply with disclosure requirements under the Restore Online Shoppers' Confidence Act (ROSCA, 15 U.S.C. § 8401 et seq.).

Pricing and Payment.

All prices are stated in U.S. dollars. Prices exclude applicable sales taxes, which will be added based on your shipping address and Michigan's sales tax nexus thresholds. Payment must be received prior to production or shipment. The Company reserves the right to cancel orders for suspected fraud.

Title and Risk of Loss.

Title and risk of loss pass to Customer upon delivery to the carrier, unless otherwise required by Michigan law (Mich. Comp. Laws §440.2401).

Intellectual Property.

All designs, CAD files, STL files, models, trademarks, trade dress, images, and documentation are the exclusive intellectual property of the Company unless expressly transferred in writing. Designs created using AI tools remain Company property unless transferred; Customer warrants any provided inputs do not infringe third-party IP.

Commissioned Design Ownership.

Unless expressly agreed in writing, all commissioned designs remain Company property. Ownership transfer requires a written assignment agreement and may require additional fees.

Prohibited Use.

Customer may not reproduce, distribute, modify, reverse engineer, sell, sublicense, create derivative works, or use in AI training without written authorization.

Disclaimer of Warranties.

TO THE FULLEST EXTENT PERMITTED BY MICHIGAN LAW AND MICHIGAN UCC §440.2316, ALL PRODUCTS AND SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE,” WITHOUT WARRANTIES OF ANY KIND.

Limitation of Liability.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE COMPANY SHALL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, except in cases of gross negligence or intentional harm. TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNT PAID FOR THE PRODUCT OR SERVICE.

Limitation of Remedies.

Customer’s exclusive remedy shall be repair, replacement, or refund at Company’s discretion, subject to applicable law.

Indemnification. Customer agrees to indemnify and hold harmless the Company from claims arising from misuse, modification, or resale. Customer indemnifies Company for claims arising from Customer-supplied designs infringing third-party rights.

Force Majeure.

The Company is not liable for delays caused by events beyond reasonable control.

Chargebacks and Payment Disputes. Fraudulent disputes could lead to suspension of service and legal action.

Third-Party Marketplace Disclaimer.

Marketplaces are not responsible for Company products. Company is the sole contracting party.

Governing Law and Venue.

These Terms are governed by Michigan law. Venue shall be Michigan state or federal courts, unless arbitration applies. If any provision is held invalid, the remainder shall remain in effect.

Arbitration and Class Action Waiver.

Disputes shall be resolved by binding arbitration under the Federal Arbitration Act (9 U.S.C. §1 et seq.) administered by the AAA in Michigan. Customer waives class actions. Opt-out available within 30 days of first purchase by written notice to support@colky3dprints.com. Small claims court is an alternative for claims under $10,000.

Attorney Fees.

The prevailing party in any dispute is entitled to reasonable attorney fees and costs.

​

Michigan Consumer Protection Act Compliance.

Nothing herein waives rights under the Michigan Consumer Protection Act (Mich. Comp. Laws §445.901 et seq.).

Click-Wrap Acceptance.

Customer agrees that placing an order constitutes electronic acceptance of these Terms under the Michigan Uniform Electronic Transactions Act (Mich. Comp. Laws §450.831 et seq.). Terms are linked conspicuously at checkout.

 

RETURN, REFUND, AND CANCELLATION POLICY

Non-custom physical products may be returned within 14 days of delivery. Custom, personalized, made-to-order, and digital products are non-returnable except as required by law. Returned items must be unused and in original packaging. Customer pays return shipping unless Company error. Refunds issued after inspection within 10 business days. Orders may be canceled only before production begins. Exceptions for hygienic reasons may apply to wearable products.

 

DIGITAL PRODUCT LICENSE POLICY

Digital products are non-refundable once delivered. Customer receives a limited, non-exclusive, non-transferable license for internal or personal use. Commercial use requires a written license. All IP remains Company property. Company may revoke licenses for violations, with notice.

 

SHIPPING POLICY

Processing times are estimates. Company is not responsible for carrier delays or incorrect addresses. Risk of loss passes upon carrier acceptance. International orders may incur duties/fees, for which Customer is responsible.

 

COMPREHENSIVE PRIVACY POLICY

Company collects personal data including name, address, email, IP address, device data, and order history for order processing, fraud prevention, analytics, and marketing. Payment data is processed by third-party processors. Company does not sell personal data. Data may be shared with service providers and authorities as required by law. Customers may request access or deletion of data. You may opt out of marketing emails via unsubscribe links. Data is retained as long as necessary for business purposes or as required by law. Company uses commercially reasonable security measures but cannot guarantee security. In case of a breach, we will notify affected users as required by law (e.g., Mich. Comp. Laws § 445.72).

SAFETY DISCLAIMERS

Strong magnets pose choking and ingestion hazards and may interfere with pacemakers. Products are not certified for safety-critical applications unless stated in writing. Customer assumes all risk. Products may contain PLA/ABS; avoid high-heat exposure.

 

COMMERCIAL USE AND RESELLER POLICY

No resale or private labeling without written reseller or manufacturing agreement. B2B terms governed by separate Master Services Agreement. Resellers must comply with labeling laws, including FTC's Made in USA rules if applicable.

 

COPYRIGHT AND DMCA POLICY

EXPORT CONTROL POLICY

Products and files may be subject to U.S. export controls. Customer agrees not to export illegally.

 

CALIFORNIA PROP 65 WARNING

This product may expose you to chemicals known to the State of California to cause cancer or reproductive harm.

 

LIMITED WARRANTY STATEMENT

Company provides no warranties except those required by Michigan law. Implied warranties limited to maximum legal duration (e.g., 30 days for defects).

 

FRAUD AND ABUSE POLICY

Company may refuse service, cancel orders, and pursue legal remedies for fraud or abuse.

 

INSURANCE AND RISK ALLOCATION

Customer acknowledges Company does not assume operational risk and Customer is responsible for insurance. We recommend Customer obtain insurance for high-value custom orders.

 

ACCESSIBILITY STATEMENT

Our website complies with WCAG 2.1 standards under the Americans with Disabilities Act (ADA, 42 U.S.C. § 12181 et seq.). Contact us for accommodations.

 

AGE VERIFICATION POLICY

Certain products may require age verification prior to purchase.

 

SUSTAINABILITY DISCLOSURES

We use eco-friendly materials where possible to minimize environmental impact.

 

UPDATES TO POLICIES

We may update these policies; continued use constitutes acceptance. Changes posted with effective date.

ENTIRE AGREEMENT

These policies constitute the entire agreement and supersede all prior agreements.
